1. Who this agreement is between
These terms are between you and legal entity namerequired before launch, the company that will operate Clutchhall, of registered business addressrequired before launch (“Clutchhall”, “we”, “us”). “You” means the person who accepts these terms. Where you accept them on behalf of a community, you confirm you have authority to do so and to bind that community.
Until those two values are filled in and this document has been reviewed by qualified counsel, nothing here is in force and Clutchhall accepts no payment.
2. Adults only
Clutchhall is offered to adults. You must be at least 18 years old, or the age of majority where you live if that is higher, to hold an account or take part in a competition. Clutchhall is not designed for or directed to minors, schools, classrooms, or youth organisations, and must not be used to run a competition for them.
A commissioner who invites members confirms that the people they invite are adults. If we gain actual knowledge that an account belongs to a minor, we will restrict the account, preserve only what is necessary, and resolve the data under the process in the privacy notice.
3. Your account
You need an account to take part. You are responsible for keeping access to your account email, because a sign-in link sent to it is enough to reach your account. Do not share a sign-in link. Tell us promptly if you believe someone else has access.
You may hold one account and use it in as many communities as you are invited to. You must not create an account for someone else, use another person’s account to submit a selection, or hold more than one entry in the same competition.
4. Communities and commissioner authority
A Clutchhall community (a “hall”) is private. It has one owner and up to 3 active commissioners including the owner.
A commissioner can:
- create, configure, and open competitions from the three published game types;
- invite, remove, and suspend members, and revoke an invitation;
- set the community’s name, address, and timezone; and
- manage the community’s subscription.
A commissioner cannot:
- see any participant’s selection before its applicable lock;
- edit a locked selection;
- edit a standings total, or override the scorer;
- bypass a lock, or reopen one after a kickoff is delayed;
- remove or rewrite a finished result, including by removing a member, transferring ownership, or closing an account; or
- use Clutchhall to collect money from participants.
A commissioner acts for their community, not for Clutchhall. They confirm they have authority to invite the members they invite, and to use the community name and content they supply. Between a commissioner and their members, decisions about who is in the community are the community’s.
5. Licence to use the software
While a community holds a valid entitlement, we grant you a limited, non-exclusive, non-transferable, revocable right to use Clutchhall for that community’s own private competitions. We keep all rights in the software, the interface, the game implementations, and the Clutchhall name and marks.
You must not copy, resell, sublicense, or white-label the service; reverse engineer it except where law permits; scrape it; use it to build a competing product; or access it by automated means other than the interfaces we provide. Schedule and result data reaches Clutchhall from a third-party source under licence and may not be extracted or redistributed.
You keep ownership of the content you supply — a community name, a display name, a description. You grant us the rights we need to host and display it inside that community and to keep it in the community’s history.
6. Acceptable use
The acceptable use room forms part of these terms. It says what a community may and may not do with Clutchhall, and what ends access.
7. Game rules, locks, and results
Each competition is played under one published rule version, snapshotted when the competition is created and linked from inside it. A later rule version does not reach back into a competition already running. The current published rules are Pick’em, Confidence, and Survivor.
Server time decides whether a selection is accepted. A selection exists only when the server has issued a receipt for it before the applicable lock. A draft held on a device, a queued request, an offline submission, or a spinner is not a selection and will not be treated as one. If a kickoff moves earlier before a lock, the lock moves with it; if a kickoff is delayed after a lock, the lock does not reopen.
Scoring is deterministic from the published rule version and the official result supplied by our authorised data source. Standings are marked provisional until finalisation, final once finalised, and corrected if a later authoritative change arrives. We do not guarantee that a third-party data source is accurate, complete, or timely.
8. Corrections and disputes about the record
Corrections are append-only. A correction preserves the original, records actor, time, reason, evidence, and scope, reruns the same scorer over the whole affected scope, appears in the competition’s correction log, and notifies materially affected participants.
Only four kinds of evidence can support a correction: a versioned change from the designated sports-data source; an internal processing defect reproducible from logged inputs; immutable server evidence that a valid selection was accepted before its lock; or a documented eligibility or configuration defect. A statement, a screenshot without matching server evidence, or a preference for a different outcome is not sufficient.
Members may flag an apparent issue until 48 hours after a round is finalised. That is a service target and does not prevent us from fixing a later, objectively verified error. Where a report concerns a commissioner’s own disputed action, that commissioner does not decide it. See support.
9. Money between members
Clutchhall does not collect, hold, pool, settle, or distribute entry money, wagers, prize pools, or winnings, and provides no feature for doing so. There is no wallet, balance, entry fee, payout, prize, or odds anywhere in the product. The subscription price and a community’s access do not depend on selections, standings, or results, and no part of the subscription funds a prize.
Responsibility for any arrangement between members, and for compliance with applicable law, rests with the commissioner and the community. Clutchhall neither endorses nor administers such arrangements. Clutchhall billing may not be used to collect participant money.
This is a statement of what Clutchhall does and does not do. It is not advice about whether any particular arrangement is lawful where you live, and you should not read it as permission.
10. Subscription, price, and renewal
A community subscription costs $249 per community per season in USD, before applicable tax. It is billed as one charge collected before the community’s first lock, and it covers up to 100 active members and up to 3 active commissioners. Applicable tax treatment is tax determinationrequired before launch.
A subscription belongs to one community, not to one person. A member can take part in several subscribed communities without buying anything.
The subscription renews automatically, once per year ahead of the next season, at the then-current price, until it is cancelled. We will send a renewal notice to the community’s billing contact before each renewal charge. Cancelling before the renewal date prevents the charge. Full detail is in refunds and cancellation.
A commissioner may create an account, draft a community, and configure draft competitions without a card. A valid entitlement is required before a community can open a live competition or invite participants. Payments are processed by Stripe; Clutchhall never receives or stores your card number.
11. Cancellation and refunds
You can cancel a subscription at any time from the community’s Subscription room, in no more steps than it took to subscribe, or by writing to support addressrequired before launch. Cancelling stops the next renewal; paid access continues through the paid-through date.
We will refund an initial season charge in full when it is requested within 14 calendar days of that charge. After paid access ends, the community becomes read-only for a 90-day export window rather than losing its history immediately. 12. Changes to the service
We will improve, change, and remove parts of Clutchhall. Where a change would materially reduce what a community relies on during a paid season, we will give notice and, if we cannot avoid the reduction, offer a pro-rata refund of the unused part of that season.
We will not change the rule version a running competition was created under except where it is strictly necessary for legality, security, or a demonstrated scoring defect. Such a change requires a recorded decision and notice to affected participants.
13. Disclaimers
Clutchhall is provided as-is and as-available. We do not promise that it will be uninterrupted, that scoring or third-party result data will be without error, that a deadline reminder will arrive, or that any particular availability level will be met. We publish no service level for this launch.
We are not affiliated with, endorsed by, or sponsored by any football league, club, or player. Team and event names are used to identify scheduled events supplied by our data source.
To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these terms limits a right you have that cannot be limited by law.
14. Limits on liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive loss, or for lost profits, lost goodwill, or lost data. Our total liability arising out of or relating to Clutchhall is limited to the amount the community paid us in the 12 months before the event giving rise to the claim.
We are not liable for anything members arrange among themselves, including any money that changes hands outside Clutchhall, and we are not a party to it.
15. Suspension and termination
We may suspend or end access to an account or a community where there is a breach of these terms or of acceptable use, where required by law, where a payment is not made, or where continuing would put other customers or the service at risk. Where the circumstances allow it, we will give notice first and a route to put the problem right.
You can close your account at any time. Closing an account does not delete a community’s finished results; see privacy notice for how identity is separated from history.
16. Your data
The privacy notice explains what we collect, why, how long we keep it, who processes it, and how to exercise access, export, correction, deletion, and appeal rights. It forms part of these terms.
Selections, receipts, scores, standings, and corrections are visible inside the community they belong to, and after a lock they are permanent parts of that community’s record.
17. Governing law and disputes
These terms will be governed by the law of governing jurisdictionrequired before launch, and disputes will be resolved in the courts of venue for disputesrequired before launch. Before starting a formal dispute, please write to us so we can try to resolve it directly; most questions about a lock or a score are answered by the receipt log.
The jurisdiction and venue above must be settled with qualified counsel before launch. Nothing has been chosen yet, and no clause about arbitration, class actions, or jury trial has been drafted; whether to include one is a decision for counsel, not for this draft.
18. Notices
We will send notices to your account email. Formal legal notices to Clutchhall go to legal notice addressrequired before launch, and a copy by email to support addressrequired before launch.
19. Changes to these terms
We may update these terms. Where a change is material we will give notice before it takes effect and record the date it changed. If you do not accept a material change, you may cancel and, where the change lands mid-season, ask for a pro-rata refund of the unused part of that season.
This draft carries no effective date because it has no effect yet. The version that takes effect will carry one, and the previous versions will stay reachable.
